IMPORTANT – PLEASE READ CAREFULLY

THIS IS A LEGAL LICENSE AGREEMENT.

This LICENSED PRODUCT is protected by copyright laws and international treaties. The LICENSED PRODUCT is licensed, not sold.

By downloading, installing, copying, or otherwise using the LICENSED PRODUCT, YOU agree to be bound by the terms of this End User License Agreement (“EULA”). If YOU do not agree, YOU must not use the LICENSED PRODUCT and must delete all copies.

1. Definitions

• “LICENSED PRODUCT” means all digital files provided, including but not limited to tone models, presets, impulse responses (IRs), profiles, and associated documentation.

• “YOU” means the individual or legal entity using the LICENSED PRODUCT.

2. Grant of License

Subject to compliance with this EULA, WE grant YOU a personal, non-exclusive, non-transferable, non-sublicensable license to use the LICENSED PRODUCT for personal and commercial audio production purposes.

This license is granted to a single user and may be used across devices owned and controlled by YOU.

YOU may:

• Use the LICENSED PRODUCT in recordings, performances, and productions

• Make one backup copy for personal archival purposes

YOU may NOT:

• Share, distribute, sublicense, sell, rent, lease, loan, or transfer the LICENSED PRODUCT

• Upload the LICENSED PRODUCT, in whole or in part, to any public or private platform (including but not limited to ToneNet, NAM, forums, marketplaces, cloud sharing services, or file-sharing systems)

• Include the LICENSED PRODUCT in any competing or derivative commercial product

• Modify, extract, repackage, or create derivative works for redistribution

• Remove any proprietary notices

Any violation results in immediate termination of this license without refund.

3. Intellectual Property

The LICENSED PRODUCT is licensed, not sold. All rights, title, and interest remain the exclusive property of 16582427 Canada Inc.

YOU acquire no ownership rights beyond those expressly granted in this EULA.

4. Restrictions on Use

YOU agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the structure or underlying components of the LICENSED PRODUCT

• Use the LICENSED PRODUCT in any manner that infringes intellectual property rights

5. Transfer of License

This license is granted solely to YOU and may not be transferred.

If YOU sell or transfer any device containing the LICENSED PRODUCT, YOU must delete all copies prior to transfer.

6. Platform & Technology Disclaimer

The LICENSED PRODUCT is designed for use with third-party platforms, including but not limited to IK Multimedia TONEX and Line 6 Helix Stadium, Kemper, Quad Cortex etc.

YOU acknowledge and agree:

• These platforms may be updated, modified, or discontinued at any time

• WE are not responsible for compatibility issues resulting from such changes

• WE are under no obligation to update, re-capture, re-train, or modify any previously released LICENSED PRODUCT

YOU further acknowledge that improvements in technology, including increased modeling accuracy, feature enhancements, or algorithm changes, do not entitle YOU to updated or revised versions of the LICENSED PRODUCT.

All LICENSED PRODUCTS represent the state of the technology at the time they were created.

WE may, at our sole discretion, choose to provide updates or enhancements, but are under no obligation to do so.

7. Performance Disclaimer

YOU acknowledge that results obtained using the LICENSED PRODUCT may vary based on factors including but not limited to:

• guitar type and pickups

• playing technique

• monitoring system

• signal chain and gain staging

WE make no guarantee that YOUR results will match demonstrations or examples.

8. Disclaimer of Warranties

The LICENSED PRODUCT is provided “AS IS” and “AS AVAILABLE”, with all faults.

WE disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

WE do not guarantee that the LICENSED PRODUCT will meet YOUR requirements or operate without interruption or error.

9. Limitation of Liability

To the maximum extent permitted by law:

Our total liability shall not exceed the amount YOU paid for the LICENSED PRODUCT.

WE are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business.

10. Indemnification

YOU agree to indemnify and hold harmless 16582427 Canada Inc. from any claims arising from:

• misuse of the LICENSED PRODUCT

• violation of this EULA

11. Termination

This EULA is effective until terminated.

It will terminate automatically without notice if YOU fail to comply with its terms.

Upon termination, YOU must cease all use and delete all copies of the LICENSED PRODUCT.

No refunds will be provided under any circumstances.

12. License Updates

WE reserve the right to modify this EULA at any time.

Continued use of the LICENSED PRODUCT after such changes constitutes acceptance of the updated terms, to the extent permitted by applicable law.

13. Governing Law

This EULA shall be governed by the laws of the Province of Ontario and the applicable laws of Canada.

YOU agree to submit to the exclusive jurisdiction of the courts located in London, Ontario, Canada.

14. Trademarks

All third-party trademarks are the property of their respective owners.

They are used solely for descriptive purposes. No affiliation or endorsement is implied.
